Agreement to these terms
These Terms of Service form a binding agreement between you and N.G.C.A. Technology Enterprises LTD ("ZIK AI", "we", "us", "our"), registered in Cyprus at 1 Aprilou 8, Aristo Centre, Block B, Floor B, Office 204, 8100 Paphos, Cyprus. They apply when you create a ZIK AI account, install the desktop application, or use this website.
If you do not accept these terms, do not use the service. If you are accepting on behalf of a company, you confirm you have authority to bind it, and "you" means that company.
What ZIK AI is
ZIK AI is a Windows desktop application that provides an Executive Agent and a set of specialist AI agents for ecommerce work: researching products, preparing store content, analysing operations and advertising, generating reports, and running scheduled tasks. The agents can be connected to platforms you already use and can prepare or perform actions there.
Availability of particular features depends on your plan and on which integrations you connect. We describe the product as accurately as we can, but nothing on our website forms a guarantee that a specific capability will exist or continue to exist.
Eligibility and accounts
You must be at least 18 years old to use ZIK AI. You are responsible for the accuracy of your account details, for keeping your password confidential, and for everything that happens under your account. Tell us promptly if you suspect unauthorised access.
Licence to use the application
While your subscription is active we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the ZIK AI desktop application for your own business purposes. You may not copy, resell, sublicense, rent, reverse engineer or attempt to derive the source code of the application, except where that restriction is prohibited by law.
Autonomous agents and your responsibility
This section matters more than any other, so please read it carefully.
ZIK AI agents act on your behalf. Depending on how you configure them and which integrations you connect, they can prepare and carry out real actions on your systems — editing listings and store content, changing advertising budgets and campaigns, drafting communications to customers, and creating or amending records in connected platforms.
The application provides approval gates for actions we consider sensitive, including those involving money, advertising spend, customer communication and publishing to a live storefront. You control which actions require approval, and you may choose to grant standing approval for categories of action.
You are responsible for every action your agents take, whether you approved it individually, approved it as a standing permission, or configured the agent to act without approval. Review what you approve.
We are not responsible for the commercial consequences of agent actions: advertising spend incurred, pricing or listing changes made, orders refunded or cancelled, messages sent to your customers, or the performance of any product, supplier or strategy an agent suggests. Where we are liable at all, the limits in these terms apply.
AI-generated output
Output produced by AI models can be incomplete, out of date, or simply wrong, and can appear confident while being incorrect. Market data, margin calculations, demand estimates and competitor analysis are indicative, not guaranteed. Verify anything you intend to act on commercially.
Nothing ZIK AI produces is legal, tax, accounting, financial or professional advice. You remain responsible for complying with the rules of the platforms you sell on, with consumer and advertising law, and with your tax obligations.
AI models may generate similar output for different users. We make no claim that output is unique, and we do not warrant that using it will not infringe a third party’s rights. Check before publishing.
Plans, credits and billing
ZIK AI is sold as a subscription with a monthly allowance of agent credits. Credits are consumed as your agents perform work. Prices, allowances and inclusions are those shown on our pricing page at the time you subscribe.
- Subscriptions renew automatically at the end of each billing period until cancelled.
- Annual plans are billed for the full year in advance at the discounted rate shown.
- Additional credits may be purchased separately and, where stated at the point of purchase, do not expire.
- All prices are exclusive of VAT unless stated otherwise. VAT is applied according to your billing country.
- Failed payment may result in suspension of access until the balance is settled.
We may change prices. For an existing subscription, a price change takes effect from the next renewal, and we will give you at least 30 days’ notice by email so that you can cancel before it applies.
Free trial, cancellation and refunds
Where a free trial is offered, it converts into a paid subscription at the end of the trial period unless you cancel before then. We will tell you when the trial ends.
You may cancel at any time from your account settings. Cancellation stops the next renewal; it does not retroactively refund the period you are currently in, and you keep access until that period ends.
Consumers in the EU and UK
If you are a consumer rather than a business, you normally have 14 days to withdraw from a distance contract. Because ZIK AI is digital content supplied immediately, you are asked to consent to immediate supply when you subscribe, and you acknowledge that doing so ends the withdrawal right once supply begins. Nothing here limits your statutory rights where they cannot be excluded.
Outside those cases we are not obliged to give refunds, but we would rather have a fair outcome than a technically correct one. If the service did not work as described, write to support@zikagent.ai and we will look at it properly.
Acceptable use
You agree not to use ZIK AI to:
- Break the law, or breach the terms of any platform you connect.
- Send unsolicited bulk messages, or generate deceptive or misleading content.
- Infringe intellectual property rights, including by copying competitors’ protected listing content.
- Sell counterfeit, unsafe or prohibited goods.
- Circumvent credit limits, plan restrictions or technical protections, or resell access to the service.
- Attempt to gain unauthorised access to our systems, or interfere with their operation.
- Extract or redistribute our marketplace data in bulk, or use it to build a competing dataset or product.
We may suspend or terminate accounts that breach this section, and where the breach is serious we may do so without prior notice.
Third-party services and model providers
Connecting a third-party platform, or connecting your own Claude or OpenRouter account, creates a relationship between you and that provider governed by their terms. You are responsible for holding valid rights to use those accounts and for any charges they levy.
Third-party services change their APIs, pricing and policies without consulting us. If a provider restricts or withdraws access, the corresponding ZIK AI functionality may stop working, and that is not a breach of these terms on our part.
Intellectual property
The application, the website, our branding and the underlying marketplace datasets remain our property or that of our licensors. These terms grant you a licence to use the service, not ownership of any part of it.
Your business data, your configurations and the output your agents generate for you are yours. We claim no ownership of them. Since your workspace is stored locally, we hold no copy to claim rights over in the first place.
Availability and changes
We aim to keep the service available and reliable, but we do not promise uninterrupted operation. Maintenance, provider outages and faults happen. We may add, change or remove features; where a change materially reduces what your plan provides, we will give you reasonable notice.
Features labelled beta or experimental are provided as-is, may change substantially, and may be withdrawn.
Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet your requirements, that it will be error-free, or that any commercial result will follow from using it.
If you are a consumer, this section does not exclude any warranty that cannot be excluded under the law of your country of residence.
Limitation of liability
To the fullest extent permitted by law, we are not liable for lost profits, lost revenue, lost sales, loss of goodwill, loss of data, business interruption, or any indirect or consequential loss, however caused.
Our total aggregate liability arising out of or relating to the service in any 12-month period is limited to the amount you paid us for the service in the 12 months preceding the event giving rise to the claim.
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from content your agents published at your direction, or from your breach of a third-party platform’s rules or of applicable law.
Suspension and termination
You may stop using ZIK AI and close your account at any time. We may suspend or terminate access if you breach these terms, if payment fails and is not remedied, or if we are required to by law.
On termination your licence to use the application ends. Your locally stored workspace remains on your computer and is yours to keep, export or delete; because it never reaches our servers, we cannot delete it for you.
Changes to these terms
We may update these terms. We will change the effective date, and for material changes we will give notice by email or in the application at least 30 days before they take effect. Continuing to use the service after that date means you accept the updated terms; if you do not, you may cancel.
Governing law and disputes
These terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have exclusive jurisdiction over any dispute.
If you are a consumer resident in the EU, this does not deprive you of the protection of the mandatory laws of your country of residence, and you may bring proceedings in your local courts. The European Commission also provides an online dispute resolution platform for consumers.
